AGILOX Holding GmbH, AGILOX Services GmbH, AGILOX Systems GmbH, AGILOX Deutschland GmbH, and AGILOX FRANCE SAS (hereinafter referred to as “AGILOX”), as management-led companies, are responsible business partners—as employers, business partners, and industry leaders in Austria. Compliance with applicable laws and other external and internal regulations forms the foundation of our business activities and decisions

Our Code of Conduct serves as a guide for the entire AGILOX organization. Specifically, it is directed at senior management, executives, all our employees, and our suppliers. On the one hand, it reflects our commitment to upholding the values and principles outlined herein; on the other hand, it signals to the outside world our commitment to responsible conduct toward our business partners, customers, and employees.

Commitment of Company Management

The AGILOX companies are committed to acting in an economically, socially, and environmentally responsible manner. The AGILOX companies strive to conduct their business competently and on an ethical and moral basis, and to engage in fair competition in all markets in which they operate. This includes compliance with applicable laws and adherence to antitrust regulations and restrictions on competition. We seek to avoid gaining any unfair advantages over customers, suppliers, or competitors.

Team Spirit, Constructive Collaboration

We continually challenge existing solutions and develop new ideas for the benefit of our customers. To this end, we foster constructive teamwork among our employees. Their interests and expectations of us are crucial to our work and continued development. In our collaboration, we succeed thanks to the diversity of our employees and their dedication across our business areas.

Standards of Collaboration

We expect all our employees to act at all times in accordance with the highest professional standards and our company’s guidelines. If employees violate existing guidelines, regulations, or rules in the course of their work or through their conduct, they will face disciplinary action.

Open Communication with Employees

We do not cover up misconduct. If employees report actual or suspected misconduct in good faith, we will not tolerate any attempts at intimidation or retaliation against them. We define “in good faith” as the employee being convinced that their account of the facts is true. This applies regardless of whether a subsequent investigation confirms the employee’s version of events or not.

Dialogue with Business Partners

All business information belonging to our partners and their trade secrets are treated with sensitivity and confidentiality. Necessary documents are properly prepared, stored, or, if necessary, destroyed after the end of the collaboration.

Customer Focus

We conduct ourselves fairly and honestly toward our customers and business partners. We identify the wishes, needs, and expectations of our customers and business partners to ensure their targeted implementation in products, services, or other processes. Our primary goal is to build long-term, stable relationships with our customers and business partners based on trust.

Acceptance of Gifts and Donations

a) Gifts to Our Employees

Our employees do not solicit or accept any personal benefits from customers or suppliers that influence or could influence their conduct in relation to their work for the company.

If gifts are offered by third parties, they may only be accepted if they are in accordance with generally accepted practice and can be regarded as a courtesy or gesture of goodwill (promotional gifts bearing the logo of the giving company, such as calendars or pens). In the case of gifts whose value exceeds the customary amount, the managing directors, in their capacity as compliance officers, must be informed. If this is not possible, such gifts must generally be declined.

b) Gifts from Our Employees

Gifts given by us may also be offered only within the scope customary for the business relationship and to a materially appropriate extent. The recipient must not be able to attach any obligation to the gift that would influence their business decisions.

c) Donations

AGILOX Services GmbH and AGILOX Systems GmbH do not, as a matter of principle, make donations to political parties, individuals, or organizations whose goals conflict with our corporate philosophy or damage our reputation. Donations are always made transparently.

We implement control mechanisms to prevent bribery, theft, embezzlement, fraud, tax evasion, or money laundering. Our employees are prohibited from accepting or offering any kind of favors ( —such as cash, travel, gifts, etc.) that are linked to an undue advantage (awarding a contract, securing a project, etc.). Our business partners are also required to avoid conflicts of interest that pose a risk of corruption.

Data Protection

We handle all personal data of our customers, business partners, and employees with the utmost care. This includes names, addresses, phone numbers, dates of birth, and information about current health status. Our employees are obligated to take all appropriate measures to secure the data and protect our IT system from both internal and external data theft. This applies in particular to the misuse of passwords within the company and the unauthorized downloading of files, especially inappropriate material from the Internet.

Protecting the environment and the climate is a matter of great importance to us. Our employees are required to use all natural resources employed in our company (e.g., energy, water, land) sparingly. We expect our employees to act responsibly in the production and distribution of our products and/or services.

The business practices of our business partners and their suppliers must also comply with applicable laws. This applies in particular to the import, export, and domestic trade of technologies or services, as well as to payments and capital flows.

Violations of economic embargoes and of trade, import, and export control regulations must be ruled out by our business partners, as must the financing of terrorism.

Fair Competition

We are committed to fair competition and adhere to these laws and rules. We refrain from colluding with competitors, suppliers, other companies, and dealers regarding prices, terms, and strategies that hinder fair competition. We do not participate in any anti-competitive boycotts.
